Terms of Service

1. Service Description
UPPYA is a digital platform for the orchestration of recycling logistics flows, including delivery planning, transport management, goods reception, environmental compliance (EWC, R/D codes), and integration with the EU DIWASS waste shipment system.
The platform is provided as a SaaS (Software as a Service) or on-premise deployment, as agreed in the applicable service contract.
2. Provider
UPPYA is provided by Naam Consulting S.à r.l., registered in Luxembourg.

3. Access & Accounts
- Access is granted to authorized users of subscribing organizations (tenants)
- Each user receives role-based permissions (Logistician, Supplier, Carrier, Reception, Safety, Environment)
- Users are responsible for maintaining the confidentiality of their credentials
- Multi-tenant isolation ensures each organization's data is strictly separated
4. Client Obligations
- Provide accurate master data (materials, suppliers, sites, EWC codes) for proper platform operation
- Ensure that DIWASS operator identifiers (EORI, Operator IDs) are correctly maintained
- Comply with applicable waste shipment regulations when using cross-border features
- Not use the platform for unauthorized purposes or in violation of applicable laws
- Ensure that invited external users (suppliers, carriers) are informed of these terms
5. Regulatory Compliance Disclaimer
UPPYA facilitates compliance with EU Regulation 1013/2006 (waste shipment), Directive 2008/98/EC (waste framework), and related regulations through structured workflows, automated validations, and DIWASS integration.
However, UPPYA does not replace legal advice. The client remains solely responsible for ensuring that all waste shipments comply with applicable national and EU regulations. UPPYA provides tools and automation to support compliance but does not guarantee regulatory approval of any notification or Annex VII document.
6. Service Level
SaaS deployment:
- Target availability: 99.5% (measured monthly, excluding planned maintenance)
- Planned maintenance windows: communicated 48h in advance
- Support: business hours (CET), response within 24h
On-premise deployment:
- Platform availability is the responsibility of the client's infrastructure team
- UPPYA provides documentation, runbooks, and second-level support
7. Intellectual Property
The UPPYA platform, including source code, design, documentation, and brand, remains the exclusive property of Naam Consulting S.à r.l. The client receives a non-exclusive, non-transferable license to use the platform for the duration of the service contract.
Client data remains the exclusive property of the client at all times.
8. Liability
UPPYA's liability is limited to direct damages caused by proven negligence in the operation of the platform, up to the total fees paid by the client in the 12 months preceding the claim.
UPPYA shall not be liable for:
- Decisions made by Competent Authorities on DIWASS notifications
- Inaccurate data entered by users
- Unavailability of third-party services (DIWASS Hub, client's ERP)
- Indirect or consequential damages
9. Termination
Either party may terminate the service with 90 days written notice. Upon termination:
- Client data is exported in a standard format (CSV/JSON) within 30 days
- All client data is securely deleted within 90 days of export confirmation
- Audit logs may be retained for the legally required period (7 years)
10. Governing Law
These terms are governed by the laws of the Grand Duchy of Luxembourg. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Luxembourg City.
